Secryn Software License Agreement

1. Grant of License

Subject to the terms of this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, perpetual license to install and use the licensed installed version of Secryn in self-hosted environments on systems owned or controlled by Licensee, solely for internal business purposes.

Secryn is offered at $99 USD per year per organization. The annual subscription includes product updates made available during the active paid term and standard email support during that term. Annual renewal buys continuing updates and standard email support. A refund is available for 7 days after purchase.

Licensee may cancel the subscription at any time. Cancellation does not revoke the license to use the licensed installed version. Updates and standard email support continue until the end of the paid term, then end if the subscription is not renewed. Licensee may keep using the licensed installed version forever, provided Licensee complies with this Agreement.

The self-hosted install includes the Secryn application source so Licensee can run the licensed instance. Secryn is proprietary software. Inclusion of that source is not an open-source license and does not permit redistribution or sublicensing.

2. Permitted Use

Licensee may:

• Install and run Secryn for one organization in one production environment plus one staging or test environment (on-premise or cloud), with no cap on users, vaults, or resource counts
• Use Secryn to manage secrets, cryptographic keys, certificates, and related metadata
• Allow Licensee’s employees and contractors to access Secryn for internal use
• Create backups and archival copies of Secryn for business continuity

3. Restrictions

Licensee may not:

• Redistribute, sublicense, rent, lease, sell, or otherwise transfer Secryn to any third party
• Provide Secryn as a managed service, hosted offering, SaaS, or shared service bureau for third parties
• Reverse engineer, decompile, disassemble, or attempt to derive source code or underlying ideas, algorithms, or structure of Secryn, except to the extent such restriction is prohibited by applicable law
• Modify, remove, or obscure any licensing, copyright, trademark, or proprietary notices
• Use Secryn to violate applicable laws, regulations, or third-party rights

4. Ownership

Secryn is licensed, not sold. Licensor retains all right, title, and interest in and to Secryn, including all intellectual property rights.

No rights are granted except as expressly set forth in this Agreement.

5. Updates and Support

The annual subscription includes product updates made available during the active paid term and standard email support during that term. After the paid term expires, Licensee receives no further product updates or standard email support unless the subscription is renewed. The perpetual right to use the licensed installed version remains subject to this Agreement.

Managed deployment, custom development, guaranteed response times, and infrastructure operations are not included.

6. Telemetry and External Services

Secryn is designed for self-hosted use and does not transmit vault contents (including secrets, keys, or certificates) to Licensor.

Optional features (such as submitting bug reports or feature requests) may transmit non-sensitive metadata to Licensor-controlled services when explicitly enabled and used by Licensee. Licensee is responsible for ensuring that no sensitive information is submitted through optional channels.

7. Disclaimer of Warranty

SECRYN IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

LICENSOR DOES NOT WARRANT THAT SECRYN WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS INTERRUPTION, OR GOODWILL, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF SECRYN, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
• LICENSOR’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR SECRYN SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE LICENSE.

9. Termination

Subscription cancellation or expiry of the paid term does not terminate this Agreement or revoke the license to use the licensed installed version.

This Agreement terminates automatically if Licensee breaches any provision of this Agreement.

Upon termination, Licensee must immediately:

• Cease all use of Secryn
• Destroy all copies of Secryn in Licensee’s possession or control

Sections relating to ownership, restrictions, warranty disclaimers, limitation of liability, and governing law survive termination.

10. Governing Law

This Agreement is governed by the laws of Canada, without regard to conflict of law principles.

11. Entire Agreement

This Agreement constitutes the entire agreement between Licensor and Licensee regarding Secryn and supersedes all prior or contemporaneous agreements, proposals, or representations relating to Secryn.

If any provision of this Agreement is held unenforceable, the remaining provisions will remain in full force and effect.
