Secryn Software License Agreement

Licensee: The individual or entity using Secryn (“Licensee”)

1. Grant of License

Subject to the terms of this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, perpetual license to install and use Secryn in self-hosted environments on systems owned or controlled by Licensee, solely for internal business purposes.

This license is granted on a one-time purchase basis and does not expire, provided Licensee complies with this Agreement.

2. Permitted Use

Licensee may:

• Install and run Secryn in self-hosted environments (on-premise or cloud)
• Use Secryn to manage secrets, cryptographic keys, certificates, and related metadata
• Allow Licensee’s employees and contractors to access Secryn for internal use
• Create backups and archival copies of Secryn for business continuity

3. Restrictions

Licensee may not:

• Redistribute, sublicense, rent, lease, sell, or otherwise transfer Secryn to any third party
• Provide Secryn as a managed service, hosted offering, SaaS, or shared service bureau for third parties
• Reverse engineer, decompile, disassemble, or attempt to derive source code or underlying ideas, algorithms, or structure of Secryn, except to the extent such restriction is prohibited by applicable law
• Modify, remove, or obscure any licensing, copyright, trademark, or proprietary notices
• Use Secryn to violate applicable laws, regulations, or third-party rights

4. Ownership

Secryn is licensed, not sold. Licensor retains all right, title, and interest in and to Secryn, including all intellectual property rights.

No rights are granted except as expressly set forth in this Agreement.

5. Updates and Support

Unless separately agreed in writing, this license does not include any obligation for Licensor to provide support, maintenance, or updates.

Licensor may, at its discretion, provide updates, patches, or security fixes and may modify or discontinue update availability at any time.

6. Telemetry and External Services

Secryn is designed for self-hosted use and does not transmit vault contents (including secrets, keys, or certificates) to Licensor.

Optional features (such as submitting bug reports or feature requests) may transmit non-sensitive metadata to Licensor-controlled services when explicitly enabled and used by Licensee. Licensee is responsible for ensuring that no sensitive information is submitted through optional channels.

7. Disclaimer of Warranty

SECRYN IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

LICENSOR DOES NOT WARRANT THAT SECRYN WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS INTERRUPTION, OR GOODWILL, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF SECRYN, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
• LICENSOR’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR SECRYN SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE LICENSE.

9. Termination

This Agreement terminates automatically if Licensee breaches any provision of this Agreement.

Upon termination, Licensee must immediately:

• Cease all use of Secryn
• Destroy all copies of Secryn in Licensee’s possession or control

Sections relating to ownership, restrictions, warranty disclaimers, limitation of liability, and governing law survive termination.

10. Governing Law

This Agreement is governed by the laws of Canada, without regard to conflict of law principles.

11. Entire Agreement

This Agreement constitutes the entire agreement between Licensor and Licensee regarding Secryn and supersedes all prior or contemporaneous agreements, proposals, or representations relating to Secryn.

If any provision of this Agreement is held unenforceable, the remaining provisions will remain in full force and effect.
